المادة 11

SHAREHOLDERS RIGHT AND OBLIGATIONS

حقوق والتزامات المساهمين

Each share in the company shall confer equal rights and obligations, for each Shareholder registered as owner of the shares of the Company in the Share Register as stated in article 11 of these Articles of Association. Accordingly, share holder shall have the following rights:

يمنح كل سهم في الشركة حقوقاً والتزامات متساوية لكل مساهم مقيد إسمه كمالك لأسهم الشركة في سجل الأسهم المشار إليه في المادة 11 من هذا النظام الأساسي ، و بموج به يكون لكل مساهم الحقوق الآتية:

1) To recieve the commensurate share of the following dividents, when there is a decision to distribute them among the Shareholders, as per these Articles of Association.

1) أن يتسلم حصته المستحقة من الارباح المقرر توزيعها عند اتخاذ قرار بتوزيعها على المساهمين ، بموجب هذا النظام الآساسي.

2) To recieve the commensurate proportion of the assets of the Company at the time of liquidation.

2) أن يتسلم حصته المستحقة من موجودات الشركة في حالة تصفيتها.

3) To participate in the bussiness of the Company in accordance with these Articles of Association.

3) أن يشارك في أعمال الشركة طبقاً لهذا النظام الأساسي.

4) To receive a report at the end of each financial year of the Company this shall include the balance sheet, a statement of profit and loss, and the reports issued by the Board of Directors and the Auditors.

4) أن يتسلم تقريراً بعد نهاية كل سنة مالية للشركة يشتمل على الميزانية العمومية وحساب الأرباح و الخسائر و تقريري مجلس الإدارة و مدققي الحسابات.

5) To file a case before the court to resolve cancellation of any resolution of the General Assembly or Board of Directors, which is contrary to any relevant provision of the law or the previsions of the Memorandum of association or these Articles of Association.

5) إقامة دعوى لدى المحكمة لإصدار حكم ببطلان أي قرار صادر من الجمعية العامة أو مجلس الإدارة و يكون مخالفاً لأحكام القانون أو لعقد التأسيس أو لهذا النظام الأساسي.

6) The right to review the records of the Company and obtain copies or extracts of its information, but subject to the conditions and provisions provided and set out by the Board of Directors of the Company.

6) حق الإطلاع على سجلات الشركة و الحصول على صور أو مستخرجات من بياناتها وذلك وفقا للشروط و الأوضاع التي يحدها و يضعها مجلس إدارة الشركة.

7) Disposal of the shares owned by him as per these Articles of Association, and shall have a priority to subscribe to new shares.

7) التصرف في الأسهم المملوكة له بموجب هذا النظام، و أولوية الإكتتاب في الأسهم الجديدة.

Each Shareholder shall have in particular, have the following obligations:

يلتزم كل مساهم على وجه الخصوص بالإلتزامات الآتية:

1) To settle all dues or due installments towards the Company after the due date is expired, and without notifications.

1) أن يسدد المبالغ المستحقة عليه لصالح الشركة أو الأقساط المستحقة بمجرد انقضاء الميعاد دون الحاجة لأي إنذار.

2) To pay the expenses incurred by the Company in enforcing any dues payable by him, in respect of any unpaid installments and selling the Shares.

2) أن يدفع للشركة المصاريف التي تكبدتها في سبيل تحصيل المبالغ المستحقة للشركة عليه، وذلك فيما يتعلق بأية أقساط غير مدفوعة و بيع الأسهم.

3) To refrain from any actions that may harm the Company.

3) أن لا يقوم بأي عمل من شأنه الإضرار بالشركة.

4) To implement any resolutions passed lawfully by the General Assembly of the Company.

4) أن ينفذ أية قرارات تتخذها الجمعية العامة للشركة بصورة قانوينة.
